Agreement Overview
This document outlines the combined Terms of Service for membership in The Wise Investor Collective Mastermind Group and participation in 1-on-1 coaching programs provided by Aitchison Consulting LLC (The Wise Investor Collective), a California limited liability company (“WIC”, “Wise Investor Collective” also referred to as “we”, “us”, “our” or “company”) and the purchaser (“Purchaser”, also referred to as “Applicant” or “you” or “your” or “client” or “member”) as of the purchased date. This document constitutes a legally binding agreement between the Purchaser and Aitchison Consulting LLC (Wise Investor Collective (WIC).
By enrolling in The Wise Investor Collective Mastermind Group and/or participating in 1-on-1 coaching programs, you acknowledge that you have read the document, understand its Terms, and hereby freely and voluntarily agree to be bound by the Terms and Conditions attached. You understand that the 1-on-1 coaching services, provided by Matt Aitchison as the Coach, are advisory in nature and do not guarantee specific outcomes. You agree to submit all payments accordingly. You agree to uphold the standards, values and confidentiality of The Wise Investor Collective. All discussions and content shared during coaching sessions are confidential and protected under this agreement.
Section 1: Wise Investor Collective Membership Terms and Conditions
Membership in WIC is designed to foster education, growth, and collaboration in commercial real estate investing. Members commit to upholding WIC’s core values.

1.1 MEMBERSHIP RULES
- Member Conduct and Confidentiality: You commit to (i) consistently treating all members of The Wise Investor Collective and its staff with respect and civility; (ii) refraining from disparaging or engaging in any conduct that could negatively impact WIC, its officers, directors, members, managers, employees, agents, attorneys, and affiliates, or their respective business activities or personal reputations; and (iii) respecting the privacy of all WIC members and adhering to the confidentiality terms outlined in this Agreement.
- Further Member Conduct Obligations: You must not engage in discrimination based on race, gender, or other distinguishing characteristics of members. Documented incidents of discrimination, harassment, bullying, or verbal threats will lead to immediate expulsion from WIC.
- Member Engagement: Member Engagement is the most important focus for The Wise Investor Collective. You hereby agree to make a reasonable and concerted attempt to be “engaged” within WIC. “Engagement” includes (but is not limited to) the following quantifiable metrics: viewing posts on Facebook page, commenting / liking posts on Facebook page, viewing course modules within content portal, attending WIC zoom group calls, connecting with other members, posting on Facebook page. You also acknowledge that the WIC internal team can and will track your engagement throughout your term of membership, weekly.
- Process for Membership Termination Due to Inactivity: The procedure for terminating a membership due to lack of engagement is as follows:
- 45 Days Inactive: Initial contact by WIC through verbal or written communication.
- 60 Days Inactive: Second notification by WIC via verbal or written communication.
- 90 Days Inactive: Formal removal notice issued by WIC.
- 91 Days + Inactive: Membership will be terminated, and the member will be removed from the group without a refund.
- Criteria for Immediate Membership Revocation: WIC retains the right to instantly terminate the membership under the following circumstances:
- Verified acts of deliberate fraud, bullying, harassment, discrimination, theft, or false financial disclosures.
- Inactivity or lack of engagement for 91 days or more. In cases where immediate revocation under article 1.5 is enacted, the following refund policy will apply.
1.2 TERMINATION / REFUND
- The refund policy is as stated below.
- Days 1-7 of membership - full refund to be issued to any member voluntarily terminating their membership during this period.
- Days 8-30 of membership, a 50% refund will be issued for any parties wanting to voluntarily terminate membership for the remaining duration of the agreement. This also includes internal removal from WIC initiated by the WIC Internal Team.
- After 30 Days of membership, there will be no refund issued.
1.3 EVENTSÂ
- Availability: All Events organized by us are on a first- come, first-serve basis, and all services are provided utilizing WIC’s reasonable efforts. We cannot guarantee the availability of any specific Event, nor your ability to participate in any Event. For each Event, we will provide you with various details (such as cost, itinerary, and any other requirements) as such information becomes available to us. We may, in our sole discretion, change or cancel any Event offered.
- Cancellations: If you decide to cancel your reservation for an event, credits will be authorized based on the following policy, without exceptions:
- Up to 90 days prior to the event: 100% full refund
- 89 – 30 days prior to the event: 50% credit to be used for future events, not membership.
- 29 days or less prior to event: No Credit
1.4 EVENT WAIVER AND RELEASE
- You recognize and accept that participating in sporting, adventurous, or other hazardous activities during an Event may expose you to inherent risks, including but not limited to physical harm, death, and/or property damage. You comprehend that engaging in any activities or utilizing equipment during an Event entails inherent risks, necessitating physical effort and carrying a significant potential for physical injury. Your decision to participate in any Event and related activities is made willingly, with a comprehensive understanding of the potential risks involved. You affirm that you are physically fit and possess sufficient health insurance to cover any injuries that might occur during or as a consequence of your involvement in an Event or its associated activities. You commit to adhering to all instructions, recommendations, and limitations related to any Event.
- You, along with your spouse, next of kin, legal representatives, heirs, and assignees, agree to absolve, discharge, and relinquish all claims against Wise Investor Collective (Aitchison Consulting LLC), its sponsors, endorsers, officers, directors, shareholders, members, managers, employees, contractors, affiliates, agents, and legal advisors (referred to individually as a “Released Entity” and collectively as “Released Entities”), from any liability, losses, damages, or claims arising from your involvement in any Event or related activities, including but not limited to personal injury or death, irrespective of whether these are caused by the negligence or other actions or inactions of any Released Entities. You bear full responsibility for the expenses of any medical treatments necessary due to illness, accident, injury, or medical emergencies during or related to your participation in any Event or activities.
- You and your insurers relinquish any right to pursue claims against the Released Entities based on insurer payments to you or on your behalf for any reason, effectively nullifying your insurers’ rights of subrogation against the Released Entities. You agree to compensate and reimburse the Released Entities for any costs, damages, and expenses they incur due to your non-compliance with this Agreement, including, but not limited to, legal fees and other expenses incurred in defending any claims or enforcing this section.
- By participating in any Event, you consent to the capture and use of your image, likeness, voice, and performance in photographs, videos, and audio recordings by Wise Investor Collective (Aitchison Consulting LLC) and its affiliates for promotional, advertising, or any other legitimate business purposes, without compensation or further notification. You hereby release and forever discharge Wise Investor Collective (Aitchison Consulting LLC) and its affiliates from any and all claims, demands, rights, promises, damages, and liabilities arising out of or in connection with the use or distribution of said photographs, videos, and audio recordings, including but not limited to any claims for invasion of privacy, appropriation of likeness, or defamation. You understand that this material may be used in various publications, public affairs releases, recruitment materials, broadcast public service advertising (PSAs), or for other related endeavors. This material may also appear on the organization’s internet web page or social media platforms. By participating in the Event, you acknowledge and agree that these materials are the property of Wise Investor Collective (Aitchison Consulting LLC) and will not be returned or withdrawn from use.
1.5 INTELLECTUAL PROPERTY RIGHTS
- All content provided by WIC to Member (collectively, “Content“), including but not limited to, graphics, logos, icons, images, audio and video clips, digital downloads, data compilations, templates, and frameworks, is Company’s property or the property of our licensors or licensees, and the compilation of the Content is our exclusive property, protected by United States and international copyright laws, treaties and conventions.
- Any trademarks, service marks, graphics, logos, page headers, icons, scripts and trade names (each, a “Mark”) maintained by Company are proprietary to us or our licensors or licensees. Our Marks may not be used in connection with any product or service that is not ours in any manner that is likely to cause confusion among users or that disparages or discredits us or anyone else. All other Marks not owned by us that appear on the Website are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by us.
- WIC grants member a limited license to access and make personal use of the Content. No Content or any other Internet site owned, operated, licensed, or controlled by Company may be copied, reproduced, republished, downloaded (other than page caching), uploaded, posted, transmitted or distributed in any way, or sold, resold, visited, or otherwise exploited for any commercial purpose.
- Member is not allowed to share internal documents, deal portals, deal information, internal videos, training, member information, contact information, screenshots, images, or content publicly outside of WIC without written approval and consent from WIC internal team and/or associated parties.
1.6 INVESTING / BUSINESS / OPPORTUNITIES AND PARTNERSHIPS.
- When sharing or presenting any Opportunity to other Members, you must provide accurate, complete information and adhere to all relevant laws, regulations, and guidelines (including securities laws and regulations) throughout your involvement with such Opportunity.
- Risk Acknowledgement: You understand that outcomes from engaging in any Opportunity can differ. Opportunities presented through WIC (Aitchison Consulting LLC) may carry substantial risk and are intended for individuals with sufficient financial stability, who can afford illiquidity, comprehend and accept the associated risks, and possess the necessary financial resilience to bear such risks, including the potential for total investment loss. You confirm that engaging in any Opportunity is based on your independent judgment and you can sustain the total loss of your investment.
- Legal and Financial Advisory Disclaimer: You acknowledge that WIC (Aitchison Consulting LLC) is not a legal or financial advisory entity and does not provide such services. WIC (Aitchison Consulting LLC) offers no legal, tax, or investment advice regarding the suitability of any Opportunity. All information received from WIC (Aitchison Consulting LLC) or its Members is provided on an "as-is" basis without warranties. You bear the sole responsibility for obtaining independent legal, tax, or other professional advice concerning any Opportunity and ensuring compliance with all relevant legal and regulatory requirements.
- Limitation of Liability: WIC (Aitchison Consulting LLC) and its associates disclaim any guarantees that the objectives of any Opportunity will be met and deny any liability for communications or information shared during your WIC membership.
- Restriction on Mass Solicitation: You are prohibited from mass solicitation or offering of any Opportunity to other Members without prior, explicit consent. This includes any form of group communication or solicitation not previously agreed upon in an individual interaction within WIC-sanctioned channels.
- Personal Responsibility in Decision Making: In assessing any Opportunity, you agree to rely exclusively on your evaluation, understanding the inherent merits and risks. You acknowledge that your participation in Opportunities is voluntary and at your own risk, hereby waiving and releasing WIC (Aitchison Consulting LLC) from any claims related to such engagement.
- Mentorship Disclaimer: WIC (Aitchison Consulting LLC) will facilitate weekly presentations by external speakers for community education and may engage with third-party vendors or individuals for additional services or activities. While WIC endeavors to validate the credibility of these mentors, vendors, or individuals, any agreements or engagements with them require your independent diligence. Mentors, third-party vendors, or individuals, unless explicitly affiliated, are external to WIC (Aitchison Consulting LLC) and are not official representatives. You waive and release WIC (Aitchison Consulting LLC) from any claims arising from interactions or engagements with these mentors, vendors, or individuals.
1.7 LIMITATION OF LIABILITY
- Under no circumstances will WIC (Aitchison Consulting LLC) be liable to member or anyone else for any direct, indirect, incidental, special or consequential damages (including lost profits), personal injury (including death) or property damage of any kind or nature whatsoever that arise out of or result from: (1) participation in this membership or any content or functions thereof; or (2) any act or omission, online or offline, of any participant in this membership or anyone else, even if WIC (Aitchison Consulting LLC) has been advised of the possibility of such damages. In no event will our total liability to member for all loss, cost, damage, liability or expense (including attorneys’ fees and costs) that member may suffer or incur, under any theory of liability, in contract, tort (including, but not limited to, negligence) or otherwise, exceed the lesser of the amount paid by member, if any, for the right to access or participate in any activity related to this Program.
1.8 NON DISCLOSURE OBLIGATIONS
- Confidential Information Definition: The term “Confidential Information” means all nonpublic and proprietary information of Wise Investor Collective (Aitchison Consulting LLC) and all Members including, without limitation, the following information whether disclosed orally, visually, electronically or otherwise: (a) ideas, business plans, financing strategies, financial information, projections, trade secrets, information about personal lives, and all other information that a reasonable person would understand to be confidential; (b) all materials and information provided to you by Wise Investor Collective (Aitchison Consulting LLC), including, without limitation, these Terms and Conditions. Confidential Information does not include any information that is in the public domain through no fault of your own or that becomes known to you by any other source not otherwise bound by a duty of confidentiality.
- You agree to hold the Confidential Information provided by WIC (Aitchison Consulting LLC) and issued by its members, associates, and affiliates in confidence. Without limiting the generality of the foregoing, the member, further promises and agrees:
- To take commercially reasonable measures to protect and safeguard the Confidential Information that it receives against unauthorized use, dissemination, publication or disclosure;
- Not to use any of the Confidential Information except in connection with the execution of the Company Services; and
- Not to, directly or indirectly, in any way, reveal, report, publish, disclose, or transfer any of the Confidential Information except to its affiliates, principals, employees, representatives, accountants, agents, co-investors, advisors, legal counsel, lenders, investors, officers and directors, or as otherwise specifically authorized by Company (collectively, “Representatives”).
1. 9 MEMBERSHIP FEES / PAYMENTS
- Term: Membership in The Wise Investor Collective (WIC) Mastermind Group is offered as a single term of 6 months only, after which the group will conclude. There will be no option to renew or extend membership beyond this 6-month period.
- Payment Terms: Payment for the 6-month term must be made in full and in advance prior to the start of the program. Split payments or installment plans are not offered.
- Non-Payment: Members who fail to complete the required full payment prior to the start of the program will not be granted access to the group. No exceptions will be made.
- Termination: Termination of this Agreement before the end of the Term can occur as follows: (a) The Wise Investor Collective (Aitchison Consulting LLC) may terminate any member's membership if the member disrupts The Wise Investor Collective’s activities, violates any of The Wise Investor Collective’s policies or rules, or behaves in a threatening, inappropriate, or disrespectful way towards The Wise Investor Collective staff, other members, or their property, as solely determined by The Wise Investor Collective. (b) Members may request termination of their membership by sending a written notice via email to designated contacts at The Wise Investor Collective.
Section 2: 1-on-1 COACHING AGREEMENT
2.1 COACHING OBJECTIVES & LIMITATIONS
The 1-on-1 coaching program is designed to provide personalized strategies, advice, and mentorship. The Coach, Matt Aitchison, will provide guidance, mentorship, and actionable strategies related to the member’s goals in business, investment, and personal development. However, success depends on the member’s implementation and effort. The coach does not guarantee specific outcomes or results.
- The Client is of the opinion that the Coach has the necessary qualifications, experience, and abilities to provide consulting services to the Client.
IN CONSIDERATION OF the matters described above and of the mutual benefits and obligations set forth in this Agreement, the receipt and sufficiency of which consideration is hereby acknowledged, the Client and the Coach (individually the “Party” and collectively the “Parties” to this Agreement) agree as follows:
2.2 SERVICES PROVIDED
- The Client hereby agrees to engage the Coach to provide the Client with the following services (the “Services”) which are part of the Champion Coaching Package:
- 2 calls/mos. (60 min) – on zoom video;
- Unlimited email and text access;
- Extreme Accountability and Goal Tracking Software subscription (12 months);
- All Coach’s checklists, marketing materials, spreadsheets, etc.;
- Access to mastermind group coaching call replays;
- Access to Mastermind Speaker Series expert calls;
- Access to attend in person Mastermind events; and
- Access to Mastermind community group chat.
- The Services will also include any other tasks which the Parties may agree on. The Coach hereby agrees to provide such Services to the Client.
2.3 TERM OF AGREEMENT
- The term of this Agreement (the “Term”) will begin on the date of this Agreement and will run for a total of 12 consecutive months and is a 12-month non-cancelable commitment by the client.
- The Client may cancel at any time after the designated TERM (i.e. “12 months”). In the event of fees owed at the time of cancellation, full payment is due and payable. PLEASE BE AWARE THAT COACHING AND ANY ASSOCIATED FEES ARE NON REFUNDABLE.
- Except as otherwise provided in this Agreement, the obligations of the Coach will end upon the termination of this Agreement.
2.4 CALL PROCEDURE
- Client is responsible for calling/logging in to their coaching link at the designated time. Client will pay for all telephone charges. Cancellations must be made 24 hours in advance. Client is responsible for scheduling all make up calls, which must be completed within the current month. If you are late calling in, we will not be able to make up the missed time.
2.5 CURRENCY
- Except as otherwise provided in this Agreement, all monetary amounts referred to in this Agreement are in USD (US Dollars).
2.6 COMPENSATION & PAYMENT TERMS
- The Coach will charge the Client for the Services at a rate determined upon purchase (the “Compensation”), to be paid on a monthly basis.
- Payments to Coach will be charged to the Client’s credit card on an automatic recurring monthly basis.Â
2.7 CONFIDENTIALITY
- Confidential information (the “Confidential Information”) refers to any data or information relating to the Client, whether business or personal, which would reasonably be considered to be private or proprietary to the Client and that is not generally known and where the release of that Confidential Information could reasonably be expected to cause harm to the Client.
- The Coach agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which the Coach has obtained, except as authorized by the Client’s written consent, except as required by law. Â
2.8 NATURE OF RELATIONSHIP
- The Coach has a background in: Behavioral Analysis, Sales Training, Time Management, Values Clarification, Motivation, Marketing, Leadership, Strategic Planning, Entrepreneurship, Goal Setting, Accountability, and Advanced Life Coaching Strategies. CLIENT HAS BEEN MADE AWARE THAT THE COACHINGÂ RELATIONSHIP IS IN NO WAY TO BE CONSTRUED AS PSYCHOLOGICAL OR FINANCIAL COUNSELING OR ANY TYPE OF THERAPY. In the event Client feels the need for professional counseling or therapy, it is the responsibility of the Client to seek a licensed professional.Â
2.9 SESSIONS
- Your Coaching Agreement includes the allotted sessions each month, lasting up to 1 hour, as indicated in your Coaching Plan. If you need to take time off, we will make up the calls before and after your vacation. Please respect that you are not paying for “calls” or “sessions” during your coaching. Your fee covers the period of time that you are in a coaching relationship. If you miss sessions during one month, it is your responsibility to manage the make-up session(s) within the same month. Also, your coach reserves the right to schedule up to one week “off” per quarter with NO call, for circumstances such as, but not limited to, vacation, illness, etc.Â
2.10 ACCOUNTABILITY
- Specific and actionable commitments will be made during your coaching sessions so that you can effectively implement the strategies you learn. We believe in a high degree of accountability as a cornerstone of our coaching, and it is expected that you will uphold the highest level of integrity by honoring your word by following through with your commitments.
2.11 COMMUNICATION
- We are here to support you in any way that we can. What’s important to you is important to us. So, if you are not feeling good about something, please let us know. We are committed to seeing how we can make it right.Â
Section 3: INDEMNIFICATION
Except to the extent paid in settlement from any applicable insurance policies, and to the extent permitted by applicable law, the Member (for themselves and on behalf of their heirs, next of kin, family, estate, beneficiaries, executors, administrators, and assigns, hereinafter collectively referred to as “Member”) agrees to indemnify, defend, and hold harmless Wise Investor Collective (WIC) (Aitchison Consulting LLC), its licensors, licensees, successors, distributors, agents, representatives, and other authorized users, as well as each of their respective officers, directors, owners, managers, members, employees, agents, and assigns (collectively, the “Indemnified Parties”), against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, settlement costs, reasonable legal fees, or other professional fees and costs of any kind or amount whatsoever.
These obligations apply to claims arising out of or related to:
- Any act or omission of the Member in connection with their participation in 1-on-1 Coaching and/or the Wise Investor Collective (WIC) Mastermind Group, including but not limited to any breach or alleged breach of this Agreement by the Member.
- Any act or omission of Wise Investor Collective (WIC)(Aitchison Consulting LLC), its affiliates, officers, agents, employees, successors, and assigns, related to their role under this Agreement.
The Member commits to diligently cooperate with the Indemnified Parties in defending against any such claims. Wise Investor Collective (WIC) / (Aitchison Consulting LLC) retains the right, at its own expense, to select separate legal representation and assume sole control over the defense and resolution of any claim that necessitates indemnification by the Member.
This indemnification obligation shall survive the termination of this Agreement.
Section 4: MODIFICATION OF AGREEMENT
Any amendment or modification of this Agreement or additional obligation assumed by either Party in connection with this Agreement will only be binding if evidenced in writing signed by each Party or an authorized representative of each party.
Section 5: ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties concerning 1-on-1 Coaching and/or the Wise Investor Collective (WIC) Mastermind Group, as applicable. It is agreed that no representation, warranty, collateral agreement, condition, prior understanding, or representation of any kind will be binding upon either Party, except as expressly provided in this Agreement.
Section 6: TITLE / HEADINGS
Headings are inserted for the convenience of the Parties only and are not to be considered when interpreting this Agreement.
Section 7: GENDER
Words in the singular mean and include the plural and vice versa. Words in the masculine mean and include the feminine and vice versa.
Section 8: GOVERNING LAW
This Agreement will be governed by and construed in accordance with the laws of the State of California. Any disputes arising under or related to this Agreement shall be resolved exclusively in the courts of Placer County, California.
Section 9: SEVERABILITY
In the event that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Agreement.
Section 10: WAIVER
The waiver by either Party of a breach, default, delay, or omission of any of the provisions of this Agreement by the other Party will not be construed as a waiver of any subsequent breach of the same or other provisions.
